Terms of Service

1. Acceptance

By registering for or using the Unecast platform, APIs, messaging services and integrations (the “Services”), you accept and agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.

2. Services Description

Unecast provides a unified communication platform enabling businesses to send and receive messages across channels (SMS, email, WhatsApp Business Platform) via dashboard, APIs, workflows and integrations. This includes connectivity via operator-provided SMS links or your own gateway credentials, as well as linking to the WhatsApp Business Platform (Meta) through our configuration and management.

3. Account Registration & Access

• You must provide accurate, complete registration information and maintain and promptly update it.

• You are responsible for all use of your account, including any integrations, API keys or gateway credentials you provide.

• You must maintain the confidentiality of login credentials and any gateway credentials you supply.

• You must notify us immediately of any unauthorized use of your account.

4. Messaging Connectivity & Integration

• SMS Gateway: You may either use SMS connectivity provided by Unecast (operator links) or supply your own SMS gateway credentials (SMPP or HTTP-API). We will integrate/configure those credentials in the Services for you.

• WhatsApp Business Platform: Unecast will assist you in the end-to-end integration of the WhatsApp Business Platform (Meta) — from requirement gathering, configuration, connecting via Unecast, to testing and deployment.

• Pricing & Charges: You will be charged by Meta directly for use of the WhatsApp Business Platform (message templates, conversation/message categories, per-message or per-conversation pricing) as determined by Meta’s rate card and policy. https://business.whatsapp.com/products/platform-pricing. Unecast may additionally charge for our integration services, but Meta’s fees are separate and payable by you.

• Usage Compliance: You shall comply with all applicable laws, regulations, industry codes and the terms and policies of gateway providers and Meta (including template approvals, message categories, spam/consent rules). You are responsible for all content sent via your account. Unecast is not liable for your non-compliance.

5. Acceptable Use

You must not use the Services to:

• Send unsolicited commercial messages (spam) or messages in breach of laws.

• Transmit illegal, harmful, defamatory, obscene or infringing content.

• Interfere with or disrupt the Services or networks of other users.

• Attempt to gain unauthorized access to Unecast systems or any user account.
  Violations may lead to suspension or termination of your account, without refund.

6. Fees, Billing & Payment

• Our Services may be provided through subscription, usage-based or one-time fees. Payment terms shall be specified in your order/agreement.

• You are responsible for all taxes associated with your use of the Services.

• For WhatsApp Business Platform access, you acknowledge you are responsible for fees charged by Meta in accordance with its pricing and policies.

• Late payments may incur interest or suspension of services.

• Refunds are at our sole discretion unless otherwise specified in your purchase agreement.

7. Service Availability & Support

• We aim for high availability but cannot guarantee uninterrupted service. Scheduled maintenance or external disruptions are excluded from liability.

• In the event of service outage, our liability is limited as set forth in Section 9.

8. Intellectual Property

• All rights, title and interest in the Unecast platform, software, trademarks and documentation remain with Unecast or its licensors.

• You retain ownership of your content and data transmitted via the Services. We obtain a limited license to host, process and display that data to deliver Services to you.

9. Limitation of Liability

• To the maximum extent permitted by law, Unecast’s liability for any claim arising under or relating to these Terms or the Services shall be limited to the amount paid by you in the prior 3 months.

• Unecast shall not be liable for any indirect, special, incidental, consequential or punitive damages.

• We are not liable for gateway provider or Meta-imposed fees, policy changes, service interruptions from third parties, or your loss of business or data.

10. Termination

• Either party may terminate these Terms in accordance with your purchase agreement.

• Upon termination, your access to Services will cease and we may delete your data as per our retention policy as described in our Privacy Policy.

• Suspension may occur without notice if you breach these Terms, particularly around acceptable use or compliance.

11. Modifications to Terms

• We may modify these Terms in our discretion, and will post the revised version with an updated “Effective Date”. Continued use of Services after modifications indicates your acceptance.

12. Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of Sri Lanka.

• Any dispute shall be subject to the exclusive jurisdiction of the courts in Sri Lanka unless otherwise agreed in writing.
